1.- Nature of the General Conditions

These General Terms and Conditions of Purchase establish the contractual framework governing the relationships between WASHNET FACTORY, S.L. (hereinafter, “Washnet”) and its suppliers of goods and services.


Their purpose is to ensure that all purchasing and supply operations are carried out in accordance with the principles of transparency, legality, quality, sustainability, and environmental responsibility that guide Washnet’s activity, as well as with the standards and requirements recognized by the management systems implemented within the organization.


These conditions are generally applicable and complement the purchase orders, contracts, or specific agreements formalized by Washnet. Any exception or modification shall require the express written authorization of the Purchasing Department.


Washnet promotes long-term business relationships based on trust, business ethics, and continuous improvement, and therefore expects its suppliers to demonstrate the same commitment to compliance with applicable regulations, labor and human rights, and environmental protection.


Any document or general condition of the supplier that contradicts what is established herein shall be deemed void unless expressly accepted in writing by Washnet.

2.- Definitions

For the purposes of interpreting these conditions:

  • “Washnet”: the purchasing company WASHNET FACTORY, S.L.
  • “Supplier”: any natural or legal person that supplies goods or provides services to Washnet.
  • “Purchase Order”: a document issued by Washnet specifying the prices, deadlines, and conditions of each supply.
  • “Approved Invoice”: a document issued by the supplier which, once validated by Washnet, gives rise to the right to payment within the established terms.
  • “Force Majeure”: any unforeseeable event or, if foreseeable, unavoidable, beyond the control of the parties, that totally or partially prevents the fulfillment of contractual obligations, such as natural disasters, fires, labor disputes, wars, acts of authority, or widespread interruptions in supply or transportation.

3.- Contractual Documentation and Order of Precedence

In the event of any contradiction between contractual documents, the order of precedence shall be: (i) the purchase order, (ii) its specific conditions, (iii) these general conditions, and (iv) any other contractual documentation.
All documents are complementary and together constitute the legal relationship between the parties.

Purchase orders issued by Washnet may include specific terms or express exceptions, which shall prevail over the provisions of these General Conditions.

4.- Purchase Orders

The supplier must accept the purchase order by signing and returning a copy to Washnet’s Purchasing Department within 48 hours. Such acceptance may also be made via email.


The commencement of supply or manufacturing without such acceptance shall imply tacit acceptance of these General Terms and Conditions of Purchase and of the corresponding order.


Washnet shall not assume any costs arising from supplies or services not covered by an issued purchase order.


Washnet may suspend or cancel a purchase order at no cost in the event of contractual breach, insolvency, or business transfer by the supplier.

5.- Price, Invoicing and Payment

The price indicated in the purchase order shall be fixed and final, unless modified in writing by Washnet. Amounts shall include transportation, travel expenses, and taxes, with VAT applied in accordance with applicable legislation.


Invoices must be submitted electronically and must reference the corresponding purchase order.


Invoices that include different orders or are not accompanied by the required documentation will not be accepted.


Washnet shall pay for the goods or services acquired in accordance with the prices and conditions set out in the purchase order and shall provide the necessary information and means for their proper execution.


Unless otherwise agreed, Washnet shall pay approved invoices within 60 days from the date of approval. Payments shall be made on the 15th or 30th of each month (or the nearest following business day), in accordance with Law 3/2004 on late payment.

6.- Deliveries, Transport and Packaging

Products or installations shall be delivered at the place and on the date indicated in the purchase order.


A delay in delivery exceeding one week may result in the application of late payment interest as provided for in Law 3/2004 of December 29, which establishes measures to combat late payment in commercial transactions, on the corresponding amount, without prejudice to Washnet’s right to terminate the order. This shall not apply in cases of duly justified force majeure.


The supplier shall be responsible for the packaging and labeling of the goods, which must be appropriate and prioritize recyclable or reusable materials. Any damage resulting from inadequate packaging or improper handling shall be the sole responsibility of the supplier.


Transport and delivery costs shall be specified in the corresponding purchase order.


Delivery notes must accompany each delivery and indicate the purchase order number, description, quantity, and delivery date. Washnet’s signature on the delivery note shall confirm the quantity but not the quality, which shall remain subject to subsequent inspection.

7.- Warranty

The supplier guarantees the products, equipment, or services supplied for a minimum period of twelve (12) months from commissioning when they form part of an installation or project.


During this period, the supplier shall repair or replace any detected defects at no cost, including materials, transport, travel, and labor.


When goods or services are integrated into equipment or installations intended for a final customer, the warranty granted by the supplier shall be extended under the same terms to such customer, and Washnet may require the execution of the necessary repairs.


Costs arising from claims by the final customer attributable to the supplier may be charged back to the supplier.


The warranty includes compliance with applicable environmental and safety specifications and shall be renewed for repaired or replaced elements.

8.- Safety and Environment

The Supplier shall comply with current environmental regulations, as well as with the requirements and guidelines established by Washnet regarding sustainability, safety, and environmental management.


The Supplier shall ensure that all its operations, products, and services are environmentally responsible and aligned with Washnet’s environmental policy, adopting the necessary measures to prevent, minimize, and correct any environmental impact arising from its activities.


The Supplier shall also prevent pollution, properly manage waste, use natural resources efficiently, and immediately report any environmental incident that may occur.


Washnet may verify or audit compliance with these requirements at any time. Acceptance of these conditions implies the Supplier’s agreement with the environmental commitments and obligations described herein.


The Supplier shall remove and manage, at its own expense, any waste it generates, ensuring proper segregation, labeling, and delivery to authorized waste managers in accordance with applicable regulations. When, for operational reasons, Washnet assumes such management, the Supplier shall deposit the waste correctly in the designated collection points.

9.- Supplier Performance Evaluation and Environmental Management

Suppliers must comply with applicable environmental legislation and with the environmental protection requirements established by Washnet, which include, at a minimum:


• Preventing pollution through the proper use of products and materials, avoiding uncontrolled discharges, emissions, or waste.


• Properly managing waste generated during the provision of services or supply:
– As a general rule, the supplier shall remove and manage, at its own expense, any waste it generates, ensuring its segregation, labeling, and delivery to authorized waste managers in accordance with applicable regulations.
– However, when for operational reasons Washnet assumes the management of certain waste, the supplier shall, upon prior agreement with the designated responsible person, deposit it safely at the designated collection point or container within Washnet’s facilities, in compliance with applicable instructions and internal regulations.


• Using natural resources (energy, water, raw materials) efficiently and responsibly.


• Ensuring the safe handling, storage, and transportation of chemical or hazardous substances in accordance with their Safety Data Sheets (SDS) and applicable regulations.


• Immediately reporting to Washnet any environmental incident, spill, or situation that may pose a risk to people or the environment.


Washnet may verify compliance with these requirements through inspections, audits, or requests for documentary evidence whenever deemed necessary. Where required, Washnet may request documentary proof of the supplier’s environmental compliance, such as licenses, authorizations, ISO 14001 certificates or equivalent, Safety Data Sheets (SDS), or environmental management plans.


In the event of environmental non-compliance or detection of non-conforming practices, Washnet may require the implementation of corrective actions and suspend the business relationship until satisfactory resolution.


Acceptance of these General Terms and Conditions of Purchase implies the supplier’s agreement with the environmental requirements described herein.


Washnet shall also promote among its suppliers the development of sustainable practices and continuous improvement in environmental, social, and occupational health and safety matters.

10.- Insurance and Liabilities

The Supplier must have, prior to the commencement of the contract and throughout its duration, a civil liability insurance policy with coverage appropriate and proportionate to the nature, scope, and risks of the contracted works or supplies, covering personal injury, material damage, and financial losses that may arise from the provision of services or supply of products under this contract.


The Supplier undertakes to maintain such insurance in full force and effect and duly paid, providing Washnet with a copy of the policy and proof of payment when required.


Furthermore, the Supplier must ensure that all supplies are properly insured during handling and transportation, and shall be responsible for any damage, loss, or deterioration resulting from inadequate packaging or improper handling, until delivery and acceptance by Washnet.

11.- Subcontracting and Assignment

The purchase order may not be subcontracted or assigned, in whole or in part, without Washnet’s prior written authorization. The supplier shall be fully responsible for its subcontractors and for any damages arising from their actions.


Washnet may require proof of the subcontractor’s resources and capabilities prior to authorizing subcontracting.

12.- Confidentiality

All exchanged information shall be considered confidential. The supplier may not disclose or use it for purposes other than the execution of the contract, even after its termination.

13.- Data Protection

Washnet shall process personal data in accordance with Regulation (EU) 2016/679 and Organic Law 3/2018.


The data controller is Washnet Factory, S.L., with registered address in Alella (Barcelona). Data subjects may exercise their rights at: info@washnet.es.

14.- Industrial and Intellectual Property

The supplier guarantees that its products or services do not infringe any third-party intellectual or industrial property rights, nor those of Washnet.

15.- Ethical and Regulatory Compliance

The supplier declares compliance with labor, tax, environmental, and safety legislation, as well as with Washnet’s ethical and integrity principles, including the prohibition of bribery, child or forced labor, and discrimination.
The supplier must respect internationally recognized human rights and cooperate with Washnet in any verification processes carried out.


Washnet may temporarily suspend the business relationship if practices contrary to these principles are detected.

16.- Termination and Suspension

Washnet may suspend or cancel a purchase order in the event of contractual breach, insolvency, business transfer, or environmental or ethical non-compliance.


Neither party shall be liable for non-performance resulting from duly justified force majeure.


Washnet may claim compensation for damages caused by the supplier’s breach, including losses incurred with respect to end customers.

17.- Jurisdiction

For any dispute arising from these conditions or from purchase orders, the parties submit to the Courts and Tribunals of Granollers (Barcelona), expressly waiving any other jurisdiction.

18.- Entry into Force and Document Version

These conditions shall enter into force on the date of their publication.

Any modification shall be communicated and published on Washnet’s corporate website.
